Treat all board members as equals, valuing diverse perspectives, backgrounds, and experiences. Ensure that every member has an equal opportunity to participate and express their views.

Uphold a strict non-discrimination policy, where no board member shall be subjected to bias or prejudice based on factors such as gender, race, religion, nationality, or any other personal characteristic.

Maintain transparency in all aspects of the EC’s proceedings, including financial matters, decision-making processes, and the sharing of information. Ensure that all members have access to relevant documents and data.

Foster an atmosphere of mutual respect and civility among board members. Encourage active listening and constructive dialogue while refraining from derogatory or disrespectful language or behavior.

Promote a non-hierarchical structure where all board members have an equal say in discussions and decision-making. Avoid creating an environment where certain members hold more power or influence than others.

Embrace democratic principles in all decision-making processes. Ensure that decisions are made collectively, with each member having the opportunity to voice their opinions and cast their votes. Major decisions should ideally be made by consensus or through a fair voting process.

Respect the confidentiality of sensitive information discussed during board meetings. Information shared in confidence should not be disclosed outside the board unless authorized.

Hold EC members accountable for their roles and responsibilities. Encourage open dialogue about progress, challenges, and areas that need improvement.

Develop a process for conflict resolution that is fair, unbiased, and transparent. Encourage members to address conflicts constructively and seek resolution through mediation or other appropriate means.

Strive for inclusivity in all board discussions and decisions, ensuring that the voices of all members, regardless of their position or tenure, are heard and valued.

Commit to ongoing learning and professional development, staying informed about best practices in governance, diversity, and inclusion.

Ensure compliance with all relevant laws, regulations, and organizational bylaws. EC members should act in accordance with the organization’s governing documents and ethical standards.
